Terms & Conditions

These terms govern your engagement with Insan's advisory and AI integration services. We've written them plainly so your team can read them without a lawyer present — though you're welcome to involve one.

01 Definitions

Throughout these Terms and Conditions, the following expressions carry the meanings set out below:

"Agreement" These Terms and Conditions, together with any service proposal or statement of work signed between Insan and the Client.
"Service" The advisory, AI integration, and maintenance workflow review services offered by Insan as described in the relevant service proposal.
"Client" / "You" The organisation or individual who engages Insan for Services under a signed proposal or by accessing our website.
"We" / "Us" Insan, whose principal place of business is Suite 7-9, Menara Imperial, Jalan Sultan Ismail, 50250 Kuala Lumpur, Malaysia.
"Content" Any written materials, memos, summaries, reports, or working documents produced by Insan in the course of delivering Services.
"CMMS" Computerised Maintenance Management System — a third-party system used by the Client to manage maintenance records and work orders.

02 Acceptance of Terms

By engaging Insan's services — whether by signing a proposal, responding to a service brief, or submitting an enquiry through our website — you confirm that you have read and understood these Terms and that your organisation agrees to be bound by them.

You must be at least 18 years of age and hold the authority to enter into a binding agreement on behalf of your organisation. Where a service is engaged by a company or registered entity, the individual signing acts as an authorised representative.

If you do not agree with any part of these Terms, we ask that you do not proceed with engaging our services and contact us to discuss your concerns before proceeding.

03 Service Description

Insan provides advisory and AI-assisted reading services for maintenance operations in Malaysia. Our work sits alongside engineering teams — we read records, surface patterns, and draft memos for human review. We do not intervene in operational systems, and no AI output we produce replaces or overrides engineer judgement.

Our services currently include:

  • SVC-001 Maintenance Workflow Review — a short advisory engagement assessing where AI summarisation may reduce the reading load on your team.
  • SVC-002 Records Reading & Drafting Pilot — a structured deployment of an AI reading assist, read-only, with a supervised period and bilingual training.
  • SVC-003 Quarterly Stewardship — an ongoing advisory retainer for teams with an active AI assist, including JKKP and OSHA 1994 alignment reviews.

Service availability is subject to capacity. We operate primarily within Peninsular Malaysia and will confirm geographic scope in your service proposal.

04 User Responsibilities

To allow us to carry out our work carefully and responsibly, you agree to:

  • Provide us with accurate access to the maintenance records, CMMS data, or condition-monitoring reports relevant to the agreed scope.
  • Assign a named maintenance manager or senior technician as our primary point of contact for each engagement.
  • Ensure that all AI-assisted outputs produced by Insan are reviewed and confirmed by a qualified engineer before any operational decision is made.
  • Not share, republish, or distribute deliverables to parties outside your organisation without prior written agreement from Insan.
  • Notify us promptly if your site conditions, operational systems, or regulatory context change in a way that may affect the scope of our work.

Prohibited activities:

  • Using Insan's outputs to claim regulatory compliance without independent engineering verification.
  • Connecting AI reading assists to any live operational control system or SCADA layer outside agreed read-only boundaries.
  • Misrepresenting Insan's involvement or the nature of AI-assisted outputs in any internal or external audit documentation.

05 Intellectual Property

Insan retains ownership of its methodologies, internal frameworks, AI configurations, and the processes used to deliver the Service. Deliverables such as written memos, workflow briefs, and audit summaries produced specifically for your engagement are licensed to you for internal use only under a limited, non-exclusive, non-transferable licence.

Your maintenance records, CMMS data, and condition-monitoring information remain your property at all times. We do not claim rights over data you provide to us, and we will not use it for purposes beyond the agreed scope of work.

You may not reproduce, resell, or adapt Insan's frameworks or service documentation for use outside your organisation without written consent.

06 Payment Terms

All fees are quoted and invoiced in Malaysian Ringgit (RM). The following service fees apply to our current standard engagements:

Payment terms are net-30 from invoice date unless otherwise stated in the service proposal. We accept bank transfer to our nominated account. Invoices not settled within 30 days may attract a late-payment fee at 1% per month on the outstanding balance.

Fees may be adjusted with 30 days' written notice for ongoing engagements. We will not increase fees mid-engagement without your agreement.

Cancellations and refunds:

  • Cancellation before commencement: full refund less any incurred preparation costs.
  • Cancellation after work has commenced: fees for completed milestones are non-refundable.
  • Cancellations must be submitted in writing to [email protected].

07 Service-Specific Terms

Maintenance Workflow Review

This is a short, bounded engagement. The deliverable is a written brief and is not a compliance audit or engineering certification. Recommendations within the brief are advisory only and require engineering validation before implementation.

Records Reading & Drafting Pilot

The AI assist deployed under this engagement operates in read-only mode at all times. It does not write to, modify, or control any CMMS, PLC, SCADA, or operational system. A six-week supervised period is included and must be completed before the engagement closes. All drafts produced by the AI assist require engineer confirmation before being treated as actionable.

Quarterly Stewardship

This is a quarterly advisory engagement. The written brief produced each quarter is for your management review record and does not constitute a legal compliance certificate. Reference to JKKP and OSHA 1994 reflects alignment checks, not formal certification services.

08 Disclaimers

Insan's services are provided as-is and as-available. While we take care in our work, we cannot warrant that AI-generated summaries, memos, or pattern observations will be free from error in all circumstances.

Our services do not constitute professional engineering advice, legal compliance certification, or a formal safety audit. They are advisory tools intended to support — not replace — the judgement of your qualified engineering and maintenance staff.

We make no representation that the use of AI reading assists will eliminate downtime, reduce all maintenance errors, or meet any specific performance outcome. Results will vary depending on the quality of existing records, the complexity of assets, and how your team applies advisory outputs.

09 Limitation of Liability

To the extent permitted by Malaysian law, Insan's total liability to you under or in connection with any engagement shall not exceed the total fees paid by you for that specific engagement in the 12 months preceding the claim.

Insan shall not be liable for any indirect, consequential, or incidental losses, including loss of production, equipment damage arising from operational decisions made on the basis of AI-assisted outputs, or loss of business.

Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.

Force majeure: neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including natural events, regulatory changes, cyberattacks, or infrastructure failures.

10 Indemnification

You agree to indemnify and hold harmless Insan, its directors, employees, and subcontractors from any claim, loss, or expense arising from:

  • Your misuse of AI-assisted outputs, including operational decisions made without engineer confirmation.
  • Your breach of these Terms or any agreed service proposal.
  • Any claim by a third party arising from your use of our deliverables outside their intended advisory scope.

11 Termination

Either party may terminate an engagement by providing 14 days' written notice, subject to payment for any work already completed or in progress at the time of notice.

Insan may terminate an engagement immediately if: you breach these Terms in a material way and do not remedy the breach within 7 days of written notice; or if continued work would expose Insan or your organisation to unacceptable regulatory or safety risk.

Upon termination, Insan will deliver any completed deliverables at the time of termination. Provisions relating to intellectual property, disclaimers, liability, and dispute resolution survive termination.

12 Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. The courts of Kuala Lumpur shall have non-exclusive jurisdiction over any dispute arising under these Terms.

Before commencing formal proceedings, both parties agree to attempt resolution through good-faith discussion for a period of 30 days. Either party may initiate this process by written notice to the other identifying the nature of the dispute.

If informal resolution is not reached within 30 days, either party may refer the matter to mediation through the Asian International Arbitration Centre (AIAC) in Kuala Lumpur before pursuing court proceedings.

13 General Provisions

Entire Agreement. These Terms, together with the applicable service proposal, constitute the entire agreement between the parties and supersede all prior discussions.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

Waiver. Failure by either party to enforce any provision shall not constitute a waiver of that provision or any other right.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Insan may assign obligations to a qualified subcontractor, provided that overall responsibility remains with Insan.

Notices. Formal notices should be sent by email to [email protected] or by post to our registered address.

14 Changes to Terms

We may update these Terms from time to time. When we do, we will revise the Last Updated date at the top of this page and, for material changes, notify active clients by email at least 14 days before the changes take effect.

Your continued engagement with Insan after a change takes effect constitutes acceptance of the updated Terms. If you do not agree with a proposed change, you may terminate the engagement in accordance with Section 11 before the effective date.
